GENERAL DELIVERY CONDITIONS (3) Die Nacherfüllung erfolgt nach Wahl des Anbieters durch Beseitigung des Mangels oder Lieferung einer mangelfreien Ware. Das Recht des Anbieters, die Nacherfüllung unter den gesetzlichen Voraussetzungen zu weigern, bleibt unberührt. (4) Schadensersatzansprüche und Ansprüche auf Ersatz vergeblicher Aufwendungen bestehen bei Mängeln nur nach Maßgabe von §9 und sind im Übrigen ausgeschlossen. § 9 Haftung (1) Der Anbieter haftet dem Kunden nach den gesetzlichen Vorschriften auf Schadens- und Aufwendungsersatz bei schuldhafter Verletzung des Lebens, des Körpers und der Gesundheit sowie bei Vorsatz und grober Fahrlässigkeit, bei arglistigem Verschweigen eines Mangels oder einer von ihm übernom- menen Garantie sowie nach dem Produkthaftungsgesetz. (2) Der Anbieter haftet ferner bei leicht fahrlässiger Verletzung einer we- sentlichen Vertragspflicht. Wesentliche Vertragspflichten sind solche, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertraut und ver- trauen darf. In diesen Fällen ist die Haftung des Anbieters jedoch auf den Ersatz des vorhersehbaren, vertragstypischen Schadens beschränkt. (3) Im Übrigen ist die Haftung auf Schadens- und Aufwendungsersatz – gleich aus welchem Rechtsgrund – ausgeschlossen. §10 Verjährung (1) Ansprüche wegen Sach- und Rechtsmängeln verjähren innerhalb von ei- nem Jahr ab Lieferung der Ware. Soweit im Einzelfall eine Abnahme verein- bart ist, beginnt die Verjährung mit der Abnahme. (2) Für Ansprüche nach Produkthaftungsgesetz oder bei Vorsatz bzw. Arglist, grober Fahrlässigkeit, in Fällen eines Lieferantenregresses nach den §§ 478, 479 BGB, einem Rechtsmangel gemäß § 438 Abs. 1 Nr. 1 a) BGB oder wenn die Ware eine Sache gemäß § 438 Abs. 1 Nr. 2 b) darstellt, die entspre- chend ihrer üblichen Verwendungsweise für ein Bauwerk verwendet worden ist und dessen Mangelhaftigkeit verursacht hat, oder bei Verletzung des Lebens, des Körpers oder der Gesundheit gilt die gesetzliche Verjährungs- frist. §11 Datenschutz Wir gewährleisten die Einhaltung der geltenden datenschutzrechtlichen Bestimmungen in Bezug auf von uns im Rahmen des Vertragsverhältnisses erhobenen, verarbeiteten und genutzten personenbezogenen Daten des Kunden bzw. seiner Erfüllungsgehilfen. Fristsetzungen, Mängelan- zeigen, Erklärung von Rücktritt oder Minderung), bedürfen zu ihrer Wirk- samkeit der Schrift- oder Textform. (3) Der Verweis auf gesetzliche Bestimmungen hat nur klarstellende Bedeutung. Der Anbieter wird den Kunden bei Fristbeginn auf die Rechtsfolgen des Schweigens besonders hinweisen. (5) Unsere Mitarbeiter und sonstige Beauftragte sind nicht berechtigt und bevollmächtigt, mündliche Vereinbarungen außerhalb des schriftlich nieder- gelegten Vertragsinhaltes zu treffen. Vertragsinhalt ist daher nur das. was von uns schriftlich als vereinbart festgehalten oder als solches bestätig wird. §2 Vertragsgegenstand (1) Der Kunde erhält zum Einkauf auf der Website www.klohk.de bei Vornahme einer Registrierung eine gesonderte Zugangskennung. Er hat die Möglichkeit, auf der oben genannten Website Produkte auszuwählen und zu bestellen. Diese werden in einem virtuellen Warenkorb gesammelt und der Kunde erhält zum Ende seines Einkaufs eine Zusammenstellung der Produkte inklusive Gesamtpreis (zuzüglich Mehrwertsteuer). Vor Versendung der Bestellung ermöglicht der Anbieter dem Kunden, die Bestellung auf ihre in- haltliche Richtigkeit, insbesondere Preis und Menge, zu überprüfen und ge- gebenenfalls zu korrigieren. (2) Der Anbieter wird dem Kunden im Rahmen dieses Vertragsverhältnisses die bestellten Produkte gemäß den nachfolgenden Vertragsbedingungen zur Verfügung stellen. §3 Vertragsschluss/Vertragssprache/Keine Speicherung des Ver- tragstextes (1) Die Präsentation oder Bewerbung von Waren im Onlineshop des Anbieters stellt kein bindendes Angebot auf Abschluss eines Kaufvertrages dar. (2) Im Onlineshop wird die Bestellung des Kunden nach Betätigen des Buttons „kostenpflichtig bestellen“ an den Anbieter geschickt. Die Bestellung stellt ein rechtsverbindliches Angebot dar, an welches der Kunde Kalendertage gebunden ist. (3) Nach Eingang der Bestellung, bestätigt der Anbieter dem Kunden unver- züglich den Empfang der Bestellung per E-Mail. Die Bestellbestätigung stellt keine Annahme des Vertragsangebots dar, es sei denn die Annahme wird zu- gleich erklärt. (4) Ein Vertrag kommt zu Stande, durch Annahmeerklärung des Anbieters per E-Mail oder durch Lieferung der bestellten Ware. (5) Die Vertragssprache ist deutsch. Für den Vertragsschluss steht dem Kunden ausschließlich die deutsche Sprache zur Verfügung. (6) Vor Abgabe der verbindlichen Bestellung im Onlineshop besteht die Möglichkeit den Vertragstext zu speichern. Der Anbieter selbst speichert den Vertragstext des mit dem Kunden abgeschlossenen Vertrages nicht. Zudem bekommt der Kunde die Vertragsbestimmungen mit Angaben zu der bestellten Ware einschließlich dieser Geschäftsbedingungen per E-Mail zugesandt. §4 Lieferfristen / Lieferverzug (1) Lieferfristen oder Liefertermine sind grundsätzlich unverbindlich, soweit nicht etwas anderes vereinbart ist. (2) Die Liefer- und Leistungsverpflichtung des Anbieters steht unter dem Vorbehalt richtiger und rechtzeitiger Selbstbelieferung. (3) Soweit die Auslieferung durch Umstände höherer Gewalt verzögert wird, insbesondere bei Maßnahmen im Rahmen von Arbeitskämpfen, wie Streik und rechtmäßiger Aussperrung, sowie beim Eintritt sonstiger Hindernisse, die für den Anbieter unvorhersehbar sind und welche er nicht zu vertreten hat (Nichtverfügbarkeit der Leistung), verlängert sich die Lieferfrist ange- messen. Dies gilt auch, soweit solche Umstände bei Lieferanten des Anbieters eintreten. Beginn und Ende derartiger Hindernisse werden dem Kunden unverzüglich mitgeteilt. Sofern die Leistung auch innerhalb der neu- en Lieferfrist nicht verfügbar ist, ist der Anbieter berechtigt, ganz oder teilweise vom Vertrag zurückzutreten. Eine bereits erbrachte Gegenleistung des Kunden wird diesem unverzüglich erstattet. (4) Unberührt bleibt das Recht des Kunden, nach Ablauf einer angemessenen von ihm gesetzten Frist vom Vertrag zurückzutreten und/oder Schadens- ersatz wegen Nichterfüllung nach Maßgabe des § 9 geltend zu machen. Ebenfalls unberührt bleiben die gesetzlichen Rechte des Anbieters, insbe- sondere jene bei Ausschluss der Leistungspflicht (z.B. aufgrund Unmög- lichkeit oder Unzumutbarkeit der Leistung und/oder Nacherfüllung). §5 Lieferung/Gefahrtragung/Abnahme/Annahmeverzug (1) Mangels anderweitiger Vereinbarung erfolgen Lieferungen EXW ab Lager des Herstellers (Incoterms 2010). Dort ist auch der Erfüllungsort für die Lieferung und eine etwaige Nacherfüllung. Auf Verlangen und Kosten des Kunden wird die Ware an einen anderen Bestimmungsort versandt (Versendungskauf). Soweit nicht etwas anderes bestimmt ist, ist der Anbieter berechtigt, die Art der Versendung zu bestimmen (insbesondere Transportunternehmen, Versandweg, Verpackung). (2) Teillieferungen durch den Anbieter sind unter Berücksichtigung seiner Interessen zulässig, es sei denn sie sind für den Kunden unzumutbar. Unzumutbarkeit liegt insbesondere vor, wenn dem Kunden durch die Teillieferung ein erheblicher Mehraufwand oder zusätzliche Kosten entste- hen, die Teillieferung für den Kunden im Rahmen des vertraglichen Bestimmungszwecks nicht verwendbar ist, oder die Lieferung der restlichen bestellten Waren nicht sichergestellt ist. (3) Soweit die Ware auf Wunsch des Kunden versandt wird, erfolgt dies auf seine Gefahr. Die Gefahr geht mit Verladung auf das Transportfahrzeug über. Soweit sich der Transport aus in der Sphäre des Kunden liegenden Gründen verzögert, geht die Gefahr auf den Kunden über, sobald die Lieferung ver- sandbereit ist und der Anbieter dies dem Kunden angezeigt. (4) Auf Wunsch und Kosten des Kunden ist der Abschluss einer Trans- portversicherung möglich. (5) Verlust oder äußerlich erkennbare Beschädigungen der Ware sowie eine Überschreitung der Lieferfrist sind bei Ablieferung gegenüber dem Fracht- führer hinreichend deutlich anzuzeigen (§ 438 HGB). Der Kunde stellt dem Anbieter unverzüglich eine Kopie der Anzeige zur Verfügung. §6 Preise/Zahlungsbedingungen (1) Maßgebend sind die auf der Webseite in Euro angegebenen Preise, ein- schließlich Verpackung jedoch zuzüglich der jeweils gültigen Umsatzsteuer, sonstiger Steuern, etwaiger Transportkosten, Zöllen, Gebühren und anderer öffentlicher Abgaben ab unserem Lager. (2) Alle nach Vertragsabschluss eintretenden Veränderungen einer etwa vereinbarten Währung oder des Wechselkurses zum EURO gehen zu lasten des Auftraggebers. (3) Der Kaufpreis wird mit Zustandekommen des Kaufvertrages fällig. Versandkosten, Zölle etc.) sind spätestens binnen 2 Wochen ab Erhalt der Ware und Rechnung zu be- zahlen. Mit Ablauf vorstehender Zahlungsfrist kommt der Kunde in Verzug. Der Kaufpreis ist während des Verzuges zum jeweils geltenden gesetzlichen Verzugszinssatz zu verzinsen. Der Anbieter behält sich die Geltendmachung eines weitergehenden Verzugsschadens vor. Gegenüber Kaufleuten bleibt der Anspruch auf kaufmännische Fälligkeitszinsen (§§ 352, 353 HGB) unberührt. (6) Im Falle des Zahlungsverzuges steht dem Anbieter zudem eine Pauschale in Höhe von 40,00 EUR zu. Die Pauschale ist auf einen geschuldeten Schadensersatz anzurechnen, soweit der Schaden in Kosten der Rechts- verfolgung begründet ist. (7) Zahlung durch Wechsel oder Scheck ist nur bei ausdrücklicher Verein- barung gestattet und gilt als sicherungshalber geleistet. Mit Einlösung des Wechsels oder Schecks im Zusammenhang stehende Kosten gehen zulasten des Kunden. (8) Dem Kunden stehen Aufrechnungs- und Zurückbehaltungsrechte nur in- soweit zu, als sein Anspruch von uns anerkannt, unbestritten oder rechts- kräftig festgestellt ist. §7 Eigentumsvorbehalt (1) Der Anbieter behält sich das Eigentum an der Ware (nachfolgend: Vorbehaltsware) bis zur Erfüllung aller ihm aus dem Kaufvertrag und der Geschäftsverbindung mit dem Kunden zustehenden und künftig entstehen- den Forderungen vor. (2) Der Kunde ist ermächtigt, die Vorbehaltsware im ordnungsgemäßen Geschäftsverkehr weiter zu veräußern. Die Verpfändung oder Sicherungs- übereignung ist ihm untersagt. Alle dem Kunden aus der Weiterveräußerung zustehenden Forderungen, einschließlich aller Nebenrechte sowie etwaiger Ersatzansprüche gegen eine Kreditversicherung tritt der Kunde hiermit an den Anbieter ab. Der Anbieter nimmt diese Abtretung bereits hiermit an. (3) Alle Rechte insbesondere Eigentum. Urheberrechte und dergleichen an technischen Zeichnungen. Montageanleitungen und sonstigen Unterlagen die dem Auftraggeber mitgeliefert oder sonst ausgehändigt wer den, ver- bleiben bei uns und gehen nicht auf den Auftraggeber über. Der Auftraggeber darf diese Unterlagen nicht an dritte Personen weitergeben, sofern diese nicht zwingend zur Erfüllung des Auftragszwecks erforderlich ist. (4) Der Anbieter ist verpflichtet, seine Sicherheiten auf Verlangen des Kunden insoweit freizugeben, als der realisierbare Wert der Sicherheiten die zu sichernden Forderungen um mehr als 10% übersteigt; dem Anbieter obliegt die Wahl der freizugebenden Sicherheiten. §8 Gewährleistung (1) Die Rechte des Kunden bei Sach- und Rechtsmängeln, richten sich nach den gesetzlichen Vorschriften, soweit nicht nachfolgend etwas anderes be- stimmt ist. Unberührt bleiben jedenfalls die gesetzlichen Bestimmungen bei Endlieferung der Ware an einen Verbraucher (§§ 478, 479 BGB). (2) Mängelansprüche des Kunden setzen voraus, dass er seinen gesetzlichen Untersuchungs- und Rügepflichten (§ 377 HGB) ordnungsgemäß nachge- kommen ist. 165
